Photography License Agreement

This Photography License Agreement ("Agreement") is entered into between Lee Campbell Photos ("Photographer") and the purchaser ("Licensee") of the digital photograph(s) ("Image(s)") downloaded from https://www.leecampbellphotos.com ("Website"). By purchasing and downloading the Image(s), the Licensee agrees to be bound by the terms of this Agreement.

1. License Options

The Photographer offers two types of licenses for the use of the Image(s). The Licensee selects the appropriate license at the time of purchase, as indicated on the Website. The terms of each license are as follows:

A. Single Use Editorial/Personal Use License

Grant of License:

- The Photographer grants the Licensee a non-exclusive, non-transferable, non-sublicensable, single-use license to use the Image(s) for editorial or personal use only, as described below.

Permitted Uses:

- Use in editorial content, such as articles, blogs, or publications (online or print), provided the use is not for commercial purposes. - Personal use, such as displaying the Image(s) in a private residence, creating personal prints, or using in non-commercial personal projects (e.g., personal social media posts, personal gifts). - The Image(s) may be used one time in a single project, publication, or display.

Restrictions:

- The Image(s) may not be used for any commercial purpose, including but not limited to advertising, promotional materials, product packaging, or any use intended to generate revenue. - The Image(s) may not be altered, edited, or modified beyond basic adjustments (e.g., cropping, resizing, or color correction) without prior written consent from the Photographer. - The Image(s) may not be resold, sublicensed, or distributed to third parties. - The Image(s) may not be used in a manner that is defamatory, obscene, or unlawful, or that infringes on any third-party rights.

Credit Requirement:

- When used in editorial content, the Licensee must credit the Photographer as follows: "Photo by Lee Campbell Photos" in a visible location near the Image(s).

B. Single Use Commercial License

Grant of License:

- The Photographer grants the Licensee a non-exclusive, non-transferable, non-sublicensable, single-use license to use the Image(s) for commercial purposes, as described below.

Permitted Uses:

- Use in a single commercial project, such as advertising, marketing materials, product packaging, or website content, for one specific campaign or product. - The Image(s) may be used one time in a single commercial project.

Restrictions:

- The Image(s) may not be used in more than one commercial project or campaign without purchasing additional licenses. - The Image(s) may not be altered, edited, or modified beyond basic adjustments (e.g., cropping, resizing, or color correction) without prior written consent from the Photographer. - The Image(s) may not be resold, sublicensed, or distributed to third parties. - The Image(s) may not be used in a manner that is defamatory, obscene, or unlawful, or that infringes on any third-party rights.

Credit Requirement:

- Where feasible, the Licensee is encouraged to credit the Photographer as follows: "Photo by Lee Campbell Photos" in a visible location near the Image(s).

2. Ownership and Copyright

The Photographer retains full ownership and copyright of the Image(s). The Licensee does not acquire any ownership rights or copyright in the Image(s) through this Agreement. All rights not expressly granted in this Agreement are reserved by the Photographer.

3. Delivery of Image(s)

The Image(s) will be delivered as a digital download in the format and resolution specified on the Website at the time of purchase. The Photographer is not responsible for any issues arising from the Licensee's inability to download or access the Image(s) due to technical issues on the Licensee's end.

4. Indemnification

The Licensee agrees to indemnify and hold harmless the Photographer from any claims, damages, or liabilities arising from the Licensee's use of the Image(s) in violation of this Agreement or applicable laws.

5. Termination

The Photographer reserves the right to terminate this Agreement if the Licensee breaches any of its terms. Upon termination, the Licensee must immediately cease all use of the Image(s) and delete or destroy any copies of the Image(s) in their possession.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under this Agreement shall be resolved in the courts of England.

7. Entire Agreement

This Agreement constitutes the entire understanding between the Photographer and the Licensee regarding the use of the Image(s). Any modifications to this Agreement must be made in writing and signed by both parties.

By purchasing and downloading the Image(s), the Licensee acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
